Overview

RouteReady LLC ("RouteReady," "we," "us") provides an operations platform for Amazon Delivery Service Partner (DSP) operators, including hiring pipeline management, performance and attendance tracking, scheduling, compliance, and HR record-keeping tools. These Terms of Service ("Terms") govern your engagement with RouteReady.

IMPORTANT — PLEASE READ CAREFULLY BEFORE USING ROUTEREADY'S SERVICES. THESE TERMS CONTAIN A BINDING INDIVIDUAL ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN §17 AND A LIMITATION OF LIABILITY IN §14 THAT SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION.

BY CLICKING "I AGREE" DURING ONBOARDING, MAKING PAYMENT, OR ACCESSING THE ROUTEREADY DASHBOARD, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS ON BEHALF OF YOURSELF AND THE DSP BUSINESS ENTITY YOU REPRESENT. IF YOU DO NOT AGREE, DO NOT USE ROUTEREADY'S SERVICES.

The Service

RouteReady provides an operations platform for DSP operators. The platform includes the following capabilities, which may be enabled separately based on your subscription tier and add-on services:

  • Hiring pipeline: applicant contact, SMS screening, scoring, interview booking, 3-touch confirmation sequences, no-show recovery, and Interview Day mode
  • Performance management: composite driver scoring, accountability lists with bottom-N selection, staffing-risk-aware termination guidance, and coaching workflows
  • Attendance tracking: manager check-in (Present, Late, Callout, No-show, VTO), configurable points/occurrence policy, exempt categories (PTO, jury duty, FMLA, bereavement, workplace injury), and computed compliance status
  • Scheduling: week view, OKAMI 13-week capacity plan with daily route targets, configurable cushion (% or headcount), score-aware driver pool, and lineup-quality reporting
  • Compliance: driver license expiry tracking with auto-SMS reminders, schedule flags, and configurable thresholds; pre-trip and post-trip inspection workflows
  • HR records: immutable, timestamped, exportable HR file per driver covering suspensions, warnings, reinstatements, and policy actions
  • Fleet and assets: vehicle, asset, and document tracking with assignment history
  • Communications: driver SMS messaging via Twilio, including Interview Day automation and license-renewal reminders
  • Daily operational briefings: The 7AM pipeline briefing and dashboard action queue
  • Add-on services: hiring specialist monitoring and outreach, payroll management, invoice dispute audits — when contracted
  • Indeed integration: spend recommendations (you manage your own Indeed account and spend)

RouteReady accesses your Indeed employer account solely as a third-party admin to retrieve driver applicant contact information for pipeline management purposes. This access is limited to applicant data retrieval and does not include job posting management, Indeed billing, or sponsored job management. RouteReady does not make payments through your Indeed account. You authorize RouteReady's limited admin access by completing onboarding. Your job postings and your Indeed billing remain yours at all times.

What RouteReady Does Not Do

To avoid ambiguity:

  • We do not post your jobs, manage your job listings, or handle Indeed billing on your behalf
  • We do not handle or process Indeed payments on your behalf
  • We do not make hiring decisions — we prepare the room, you make the call
  • We do not guarantee specific hiring outcomes — results depend on market conditions, applicant pool, and your ad spend
  • We do not provide legal, HR, or employment compliance advice
  • We do not warrant that use of our service satisfies any Amazon DSP program requirement

Fees and Billing

RouteReady's platform fees are set forth in your Order Form or, where no Order Form is in effect, are the published rates at gorouteready.com (currently starting at $350/month for the platform tier). Add-on services — including full-service hiring management, payroll management, and invoice dispute audits — are billed separately at rates specified in your Order Form. Billing begins on the date your platform access goes live following onboarding. Payment is due monthly in advance. Accepted payment methods include ACH, credit card, and check.

RouteReady never touches your Indeed spend. Indeed bills you directly for any boosting or sponsored job activity. RouteReady may recommend when to boost or pause — the decision and payment are always yours.

Month-to-Month Terms and Termination

There is no minimum contract period. RouteReady is month-to-month.

Cancellation by DSP operator: Cancellation requires 30 days' written notice by email to support@gorouteready.com with your DSP name and the word "cancel" in the subject line. If cancellation notice is submitted during an active hiring cycle (defined as any billing period in which RouteReady has delivered screened applicants, scheduled interviews, or sent confirmation sequences on your behalf), the cancellation takes effect at the end of the billing period following the period in which notice was received. No partial-month refunds are issued for either the notice period or the final billing period.

Termination for non-payment: RouteReady may terminate service for non-payment with 7 days' written notice.

Termination for convenience: RouteReady may terminate service for any reason or no reason upon 30 days' written notice to the DSP operator. In the event of termination for convenience, RouteReady will issue a pro-rated refund of any pre-paid fees covering the period after the termination date.

Termination for cause: RouteReady may terminate service immediately upon written notice, without liability for any remaining billing period, if: (a) DSP operator violates §21 (Acceptable Use) after written notice and 3 business days to cure; (b) DSP operator violates applicable law in connection with the use of RouteReady's services and fails to cure within 3 business days of written notice; (c) DSP operator fails to implement required SMS consent language after written notice from RouteReady; (d) continued service would, in RouteReady's reasonable and good-faith judgment, expose RouteReady to material legal liability; or (e) DSP operator engages in fraudulent, abusive, or illegal conduct. Fees paid for the current billing period are non-refundable upon termination for cause. RouteReady's decision to terminate under this paragraph shall not be construed as an admission of liability.

RouteReady updates: RouteReady may update these Terms at any time by posting a revised version at gorouteready.com/terms.html with an updated effective date. RouteReady will provide at least 14 days' advance written notice to active DSP clients of any material change. Continued use of RouteReady's services after the effective date of any update constitutes acceptance of the updated Terms. If a DSP operator does not accept a material change, their sole remedy is to cancel before the change takes effect. Individual modifications require a written addendum signed by an authorized representative of RouteReady.

Cancellation and Data

Upon cancellation or termination:

  • Dashboard access is removed at end of the final billing period
  • Active applicant communication ceases immediately upon written request
  • Your data remains available for export for 60 days following the end of your final billing period
  • Data is deleted from RouteReady's active systems within 90 days of the export window closing, subject to RouteReady's legal retention obligations

RouteReady may, at its discretion, offer paid data archival beyond the 60-day export window at rates published on RouteReady's website. Requests for extended archival must be submitted before the 60-day window expires.

SMS Compliance and TCPA

RouteReady sends automated SMS messages to driver applicants on your behalf using Twilio's messaging platform, which constitutes an Automatic Telephone Dialing System (ATDS) under the Telephone Consumer Protection Act, 47 U.S.C. § 227 (TCPA). Both RouteReady and DSP operators may be exposed to TCPA liability as a result of these communications.

Your representations and warranties: By using our service, you represent and warrant that: (a) your job postings and application processes include legally sufficient consent language authorizing automated SMS communications from RouteReady and its technology partners; (b) you have implemented and will maintain the double opt-in confirmation process required by RouteReady's standard onboarding protocol; and (c) all consent language complies with TCPA, CTIA Messaging Guidelines, and all applicable state law.

RouteReady's practices: RouteReady follows TCPA and CTIA guidelines for all automated messaging, including immediate carrier-level opt-out processing (STOP), HELP responses, message identification, and message frequency disclosures.

SMS indemnification: SMS-related indemnification obligations between the parties are governed exclusively by §15 of these Terms. Notwithstanding any other provision, RouteReady's total indemnification obligation with respect to any SMS or TCPA-related claim is subject to the liability cap in §14 and applies only where: (a) RouteReady receives prompt written notice of the claim no later than 30 days after the DSP operator's receipt of notice or service of process; (b) RouteReady is given sole and exclusive control of the defense, including selection of counsel and approval of any settlement; (c) the DSP operator cooperates fully in the defense and does not make any admission, settlement offer, or public statement regarding the claim without RouteReady's prior written consent; and (d) the claim arises solely from RouteReady's deviation from TCPA-compliant messaging practices, not from any failure by the DSP operator to implement adequate consent language or any action or omission by the DSP operator that contributed to the claim.

RouteReady's indemnification obligation under this section does not apply to: (i) claims arising from the DSP operator's job postings, application forms, or consent collection practices; (ii) claims arising from applicant data sourced from Indeed or other platforms that the DSP operator authorizes RouteReady to access; (iii) any claim in which the DSP operator's failure to comply with the representations in this section is a contributing cause; or (iv) any claim for punitive or exemplary damages.

Data and Applicant Information

Applicant data submitted to RouteReady for pipeline management remains the property of the DSP operator ("Client Data"). RouteReady processes Client Data exclusively as a service provider and data processor. RouteReady will not use Client Data for any purpose outside of operating your pipeline, and will not share Client Data with other DSP clients.

Following cancellation, Client Data is available for export for 60 days and will be deleted from RouteReady's active systems within 90 days, subject to RouteReady's legal retention obligations and the data retention terms in the RouteReady Privacy Policy.

Our full data handling practices are described in the RouteReady Privacy Policy at gorouteready.com/privacy.html, which is incorporated into these Terms by reference.

Dashboard Access

RouteReady provides access to a real-time pipeline dashboard hosted by RouteReady. Dashboard access is granted to authorized DSP personnel designated by you during onboarding. You are responsible for maintaining the security of your login credentials.

RouteReady may update, modify, or discontinue any dashboard feature or interface element at any time. RouteReady will provide at least 14 days' advance written notice before removing or materially reducing the functionality of any feature listed in §2. Adding new features, modifying the interface design, or updating underlying technology without reducing the functionality described in §2 does not require advance notice. In the event RouteReady discontinues a feature listed in §2, DSP operators may cancel without penalty during the notice period.

Service Level and Availability

RouteReady targets same-business-day response for pipeline issues and direct support inquiries. RouteReady will use commercially reasonable efforts to maintain dashboard availability. RouteReady does not guarantee any specific uptime percentage. Scheduled maintenance will be communicated in advance.

In the event of a dashboard outage exceeding 24 consecutive hours caused solely by failures within RouteReady's direct control (expressly excluding third-party service failures identified below), RouteReady's sole obligation is to issue a pro-rated service credit for the affected calendar days in the following billing cycle. Service credits are the exclusive remedy for dashboard unavailability and do not constitute an admission of liability.

RouteReady is not liable for any outage or service disruption caused by third-party service failures including but not limited to Twilio, Google Workspace, Airtable, Cal.com, Indeed, or internet infrastructure failures outside RouteReady's direct control.

No Guarantee of Results

ROUTEREADY DOES NOT GUARANTEE ANY SPECIFIC HIRING OUTCOME, INCLUDING BUT NOT LIMITED TO ANY SPECIFIC NUMBER OF QUALIFIED APPLICANTS, INTERVIEWS, HIRES, OR ORIENTATION ATTENDANCE RATES.

RouteReady will manage your driver applicant pipeline in accordance with the service description in §2. Hiring outcomes depend entirely on your local labor market conditions, Indeed ad spend level and targeting, compensation package competitiveness relative to local market rates, and other factors that are entirely outside RouteReady's control.

RouteReady's sole obligation with respect to below-expectation results is to provide its assessment of observable pipeline metrics and to describe adjustments, if any, that fall within RouteReady's contracted scope of services. This obligation does not constitute a warranty, performance guarantee, or service level agreement.

No representation made in RouteReady's marketing materials, sales communications, onboarding process, or The 7AM briefing constitutes a guarantee of results or modifies the disclaimer in this section.

Intellectual Property

The RouteReady name, brand, dashboard, methodology, and all associated materials are the intellectual property of RouteReady LLC. Your DSP name, applicant data, and pipeline configuration are yours. Neither party acquires any ownership interest in the other's intellectual property through this engagement.

DSP operators grant RouteReady the right to identify them as a client and to use aggregated, anonymized pipeline data in marketing materials and case studies. RouteReady will not use the DSP operator's specific name, logo, or identifiable information in marketing materials without prior written consent.

Confidentiality

Both parties agree to keep confidential all non-public, proprietary information of the other party disclosed in connection with these Terms ("Confidential Information"), including pricing, operational methodologies, applicant data, and pipeline performance data.

"Confidential Information" does not include information that: (a) is or becomes publicly available through no breach of this section; (b) was known to the receiving party prior to disclosure without restriction; (c) is independently developed by the receiving party without reference to the Confidential Information; (d) is received from a third party without restriction on disclosure; or (e) is required to be disclosed by applicable law, regulation, court order, or government authority, provided that the disclosing party gives the other party prompt written notice to the extent legally permissible and cooperates with any effort to seek a protective order.

Neither party shall use the other party's Confidential Information for any purpose other than performing its obligations under these Terms. This obligation survives termination for two years.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY'S TOTAL LIABILITY TO THE OTHER FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES PROVIDED HEREUNDER SHALL NOT EXCEED THE FEES PAID BY DSP OPERATOR TO ROUTEREADY IN THE THREE MONTHS PRECEDING THE CLAIM ("LIABILITY CAP"). THIS LIABILITY CAP IS MUTUAL AND APPLIES EQUALLY TO CLAIMS BY ROUTEREADY AGAINST DSP OPERATORS.

The Liability Cap applies to all claims and obligations between the parties arising from these Terms, including but not limited to indemnification obligations under §15 and SMS compliance obligations under §7, without exception. The parties expressly agree that no indemnification obligation in these Terms shall create liability exceeding the Liability Cap.

NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST REVENUE, LOST PROFITS, MISSED HIRING TARGETS, LOSS OF BUSINESS OPPORTUNITY, OR CONTRACT ACTIONS TAKEN BY AMAZON AGAINST DSP OPERATORS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The Liability Cap and consequential damages exclusion do not apply to: (a) either party's obligation to maintain confidentiality under §13; (b) liability for fraud or intentional misconduct; or (c) fees owed to RouteReady for services rendered under §4.

Indemnification

DSP operator indemnification of RouteReady: You agree to indemnify, defend, and hold RouteReady harmless from any third-party claims, damages, losses, and expenses (including reasonable attorney's fees) arising from: (a) your misuse of the service or violation of §21 (Acceptable Use); (b) your violation of applicable employment, hiring, or privacy laws; (c) inaccurate information you provide during onboarding or in the course of the service; (d) your failure to include adequate SMS consent language in your job postings or application processes; or (e) claims by driver applicants related to your hiring decisions, practices, or instructions to RouteReady.

RouteReady indemnification of DSP operator: RouteReady agrees to indemnify, defend, and hold DSP operator harmless from third-party claims arising from RouteReady's gross negligence or willful misconduct in the performance of the services. RouteReady's indemnification obligation is subject to the Liability Cap in §14 and applies only where: (a) DSP operator provides RouteReady with prompt written notice of the claim no later than 30 days after receiving notice of the claim; (b) RouteReady is given sole and exclusive control of the defense, including selection of counsel and approval of any settlement; (c) DSP operator cooperates fully and does not make any admission, settlement offer, or public statement regarding the claim without RouteReady's prior written consent; and (d) DSP operator has not taken any action that materially prejudices RouteReady's ability to defend the claim.

RouteReady shall have no indemnification obligation to the extent a claim arises from the DSP operator's own actions, instructions, negligence, or breach of these Terms.

Amazon DSP Program Compliance

RouteReady's services are designed to support compliant DSP hiring practices. However, RouteReady is not affiliated with Amazon and does not warrant that use of our service satisfies any specific Amazon DSP program requirement. DSP operators are solely responsible for their compliance with Amazon's program policies, Capacity Reliability requirements, and any other Amazon standards. Nothing in these Terms creates a representation that RouteReady is endorsed by or affiliated with Amazon.com, Inc.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles.

Informal resolution: Before initiating arbitration, the party with a grievance must provide written notice to the other party describing the claim in reasonable detail and the relief sought. The parties will attempt to resolve the dispute in good faith within 30 days of the notice.

Binding arbitration: If the dispute is not resolved within 30 days, it shall be resolved by binding individual arbitration as follows: (a) for claims with a value at or below $10,000: arbitration shall be conducted by a single arbitrator via written submissions or videoconference, under JAMS Streamlined Arbitration Rules and Procedures, with each party bearing its own fees and costs and splitting filing fees equally; (b) for claims with a value exceeding $10,000: arbitration shall be conducted under JAMS Comprehensive Arbitration Rules by a single arbitrator in Springfield, Missouri, or by videoconference by mutual agreement, with the arbitrator authorized to award reasonable attorney's fees and costs to the prevailing party not to exceed the greater of the amount in dispute or $25,000.

CLASS ACTION AND REPRESENTATIVE ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITIES AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. IF THIS WAIVER IS FOUND UNENFORCEABLE, THE ARBITRATION AGREEMENT SHALL BE NULL AND VOID AND THE DISPUTE SHALL BE LITIGATED IN THE COURTS OF GREENE COUNTY, MISSOURI.

Exceptions: Either party may seek emergency injunctive relief in a court of competent jurisdiction in Greene County, Missouri to prevent irreparable harm pending arbitration. Either party may bring individual claims in a small claims court of competent jurisdiction in lieu of arbitration where the claim falls within that court's jurisdictional limits.

The class action waiver in this section applies to the B2B relationship between RouteReady and DSP operators. Nothing in this section governs the rights of third-party driver applicants who are not parties to these Terms.

Entire Agreement

These Terms, together with the RouteReady Privacy Policy and any written service addendum executed between the parties, constitute the entire agreement between you and RouteReady. These Terms supersede all prior communications, proposals, or representations. No oral or written statement made outside of these Terms modifies any provision herein. Individual modifications require a written addendum signed by an authorized representative of RouteReady.

Disclaimer of Warranties

ROUTEREADY'S SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. ROUTEREADY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. ROUTEREADY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY SPECIFIC HIRING OUTCOME WILL BE ACHIEVED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY ROUTEREADY OR ITS REPRESENTATIVES SHALL CREATE A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Force Majeure

RouteReady shall not be in breach of these Terms and shall not be liable for any failure or delay in performance caused by circumstances beyond RouteReady's reasonable control, including but not limited to: acts of God; internet, telecommunications, or power outages; failures or changes in third-party platforms including Twilio, Indeed, Google Workspace, Airtable, or Cal.com; changes in applicable law or regulation affecting RouteReady's ability to send automated SMS communications; government actions; cyberattacks or security incidents affecting third-party infrastructure; or labor disputes.

RouteReady will notify affected DSP operators within two business days of the onset of a force majeure event and will resume performance as soon as reasonably practicable. If a force majeure event persists for more than 30 consecutive days, either party may terminate the affected service engagement with written notice, without liability, and DSP operator shall receive a pro-rated refund for any pre-paid fees covering the period following the termination date.

Acceptable Use

DSP operators may not use RouteReady's services to:

  • Contact applicants who have opted out of SMS communications or whose numbers appear on RouteReady's suppression list
  • Screen, filter, or exclude applicants on the basis of any characteristic protected under applicable federal, state, or local employment law, including race, color, religion, sex, national origin, age, disability, or genetic information, in violation of Title VII (42 U.S.C. § 2000e), the ADEA (29 U.S.C. § 621), the ADA (42 U.S.C. § 12101), or applicable state law
  • Use applicant data sourced through RouteReady for any purpose other than the specific hiring engagement for which it was collected
  • Instruct RouteReady to take any action that RouteReady reasonably believes would violate applicable law
  • Violate Indeed's Employer Terms of Service in connection with the Indeed integration

RouteReady reserves the right to refuse to execute any instruction that RouteReady reasonably believes would violate this section or applicable law, without liability to the DSP operator. Violation of this section constitutes grounds for immediate termination under §5.

Suspension for Non-Payment

If any payment is not received within 10 days of its due date, RouteReady may suspend pipeline operations and dashboard access upon 48 hours' written notice to the DSP operator without waiving its right to terminate under §5. Suspension does not constitute termination and does not release the DSP operator from any payment obligation. RouteReady will restore service within one business day of receiving payment in full of all outstanding balances plus a reinstatement fee of $250. RouteReady shall not be liable for any pipeline disruption, lost applicants, or hiring impact resulting from a suspension under this section.

Data Processing

RouteReady processes applicant personal data as a service provider and data processor on behalf of DSP operators, who are data controllers with respect to applicant personal information. RouteReady: (a) processes applicant data only on documented instructions from the DSP operator as established through onboarding and these Terms; (b) does not sell, share, or retain applicant data for any purpose outside of operating the DSP operator's hiring pipeline; (c) implements technical and organizational measures to protect applicant personal data against unauthorized access, disclosure, or destruction; (d) assists DSP operators in responding to data subject rights requests to the extent technically feasible; (e) notifies DSP operators promptly and in no event later than 48 hours after discovery of any security incident affecting their applicants' data; and (f) deletes or returns applicant data as provided in §6 upon termination.

DSP operators are responsible as data controllers for ensuring that their collection of applicant data and their instructions to RouteReady comply with all applicable privacy and employment laws. This section, together with RouteReady's Privacy Policy at gorouteready.com/privacy.html, constitutes a Data Processing Agreement for purposes of CCPA, CPRA, and other applicable state privacy laws.
